Terms of Service
These Terms of Service ("Terms") govern your use of grainfield.ai and any services provided by Grainfield LLC ("Grainfield," "we," "us," or "our"). By using our website or engaging our services, you agree to these Terms.
1. Our Services
Grainfield provides managed AI automation services for independent service businesses, including missed-call response, lead follow-up, appointment scheduling, and related communication automation, delivered on a subscription basis as described at the time of purchase.
2. No Long-Term Contract
Grainfield services are provided month-to-month with no long-term contract, unless a specific written agreement states otherwise. Either party may cancel ongoing service as described in the agreement provided at signup.
3. Fees & Payment
Installation fees and monthly subscription fees are as quoted to you at the time of signup and are subject to the pricing terms presented during that conversation. Fees are billed in advance and are non-refundable except as required by law or as otherwise agreed in writing.
4. SMS & Calling Program Terms
As part of our services, you may receive or send SMS messages and calls facilitated through our platform. By participating, you agree that:
- Message frequency varies based on activity
- Message and data rates may apply
- You may opt out of SMS at any time by replying STOP, or request help by replying HELP
- You are responsible for obtaining proper consent from your own customers before enabling automated messaging on their behalf, and for complying with applicable telemarketing and messaging laws (including TCPA) in your use of our services
5. Acceptable Use
You agree not to use our services to send unlawful, deceptive, or unsolicited messages, to violate any applicable law, or to interfere with the proper functioning of the platform.
6. Intellectual Property
All content, branding, and materials provided by Grainfield remain our property. You retain ownership of your own business data and content.
7. Disclaimer of Warranties
Our services are provided "as is." While we work to ensure reliable performance, we do not guarantee uninterrupted operation, specific revenue outcomes, or that automated messaging will be error-free.
8. Limitation of Liability
To the maximum extent permitted by law, Grainfield's total liability for any claim arising from these Terms or our services is limited to the fees you paid us in the three (3) months preceding the claim. Grainfield is not liable for indirect, incidental, or consequential damages.
9. Termination
We may suspend or terminate access to our services for violation of these Terms, including misuse of messaging capabilities or non-payment.
10. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict of law principles, regardless of your location. This applies to all users of our services worldwide.
11. International Use
Grainfield's services are available to clients worldwide. If you are located outside the United States or serve customers outside the United States using our platform, you are solely responsible for complying with the telecommunications, messaging, and data protection laws applicable in your jurisdiction and your customers' jurisdictions (including, where applicable, GDPR, CASL, or other local equivalents of the U.S. Telephone Consumer Protection Act). Grainfield's built-in messaging compliance features are designed around U.S. requirements and do not guarantee compliance with non-U.S. law.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
